Entry into a Material Definitive Agreement.

Silicon Valley Bank Loan Amendment
On September 29, 2010, St. Bernard Software, Inc. (the “Company”) entered into a Seventh Amendment to the Loan and Security Agreement (the “Loan Amendment”) with Silicon Valley Bank (“SVB”), amending the existing Loan and Security Agreement entered into between St. Bernard and SVB on May 11, 2007 as amended. Pursuant to the terms of the Loan Amendment, among other things, SVB (i) increased the Cash Sublimit, FX (foreign exchange) Sublimit and the Letter of Credit Sublimit from $250,000 to $650,000 and (ii) changed the compliance dates in the Tangible Net Worth financial covenant from January 31, 2010 to September 30, 2010.
