| (d) | On October 18, 2004, the Board of Directors of infoUSA Inc. (the “Company”) voted to increase the size of the Board of Directors from seven to eight directors, effective immediately, and elected Martin F. Kahn to serve as a director of the Company. Mr. Kahn was elected to serve in the class of directors whose term expires at the Company’s 2005 annual meeting of shareholders. Mr. Kahn was appointed to serve on the Finance Committee and the Nominating and Corporate Governance Committee of the Board of Directors. Mr. Kahn previously served as the Chairman and Interim Chief Executive Officer of OneSource Information Services, Inc. prior to its acquisition by the Company in June 2004. | |||
