This statement is filed by Polar Asset Management Partners Inc., a company incorporated under the laws on Ontario, Canada, which serves as the investment manager to Polar Opportunities Master Fund, a Cayman Islands exempted company ("POMF"), and Polar Micro-Cap Fund, an open-ended investment trust created under the laws of the Province of Ontario pursuant to the terms of the trust agreement dated as of January 31, 2014 (PMCF), with respect to the Shares (as defined below) directly held by POMF and PMCF.
