Effective August 30, 2004, Bruce R. Berkowitz resigned from Safety Insurance Group, Inc’s (the “Registrant's”) Board of Directors (the “Board”).  On August 30, 2004, the Registrant issued a press release relating to Mr. Berkowitz’s resignation, a copy of which is furnished herewith as Exhibit 99.1.

Effective August 30, 2004, the Registrant’s Board of Directors elected Frederic H. Lindeberg to replace Mr. Berkowitz as Director on the Board.  Mr. Lindeberg will serve as the Chairman of the Nominating and Governance Committee and will serve as a member of both the Audit Committee and the Compensation Committee.  On August 30, 2004, the Registrant issued a press release relating to Mr. Lindeberg’s election by the Board, a copy of which is furnished herewith as Exhibit 99.1.
