Item 5.02.              Departure of Directors or Principal Officers.

 

                Mr. John T. Raymond resigned from his position as a member of the Board of Directors of Plains All American GP LLC (“GP LLC”) effective April 22, 2005.  The Board of Directors consists of up to eight members, including three independent directors, the Chief Executive Officer and four other directors, each designated by one of the four members of GP LLC with a membership interest in GP LLC of 9% or more.  At this time, a new director has not been designated to fill the seat vacated by Mr. Raymond.
