Item 8.01 Other Events.
On July 7, 2010, XELR8 Holdings, Inc. (the "Company") issued a press release announcing the consummation of a financing transaction, and the appointment of Kevin Sherman as President and Chief Executive Officer of the Company, replacing Daniel W. Rumsey, who will remain as the Chairman of the Board of Directors. A copy of the press release is attached as Exhibit 99.1. A Current Report on Form 8-K was filed on July 7, 2010, which provided details regarding the financing and Mr. Sherman's appointment.
