Item 5.02.

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Agreements of Certain Officers.

The Company announced that, on September 3, 2014, Mr. Carlos A. Carrero notified the Company of his resignation as Acting President and CEO of Triple-S Advantage Solutions, Inc., the Company’s Medicare Advantage operating subsidiary. On September 4, 2014, the Company appointed Madeline Hernández-Urquiza, current Chief Risk Officer of Triple-S Salud, Inc., as his successor.
