Item 2.02. Results of Operations and Financial Condition.

On February 25, 2010, Gran Tierra Energy Inc. issued a press release announcing Gran Tierra Energy’s financial results for the fiscal quarter and year ended December 31, 2009.  A copy of the press release is attached hereto as Exhibit 99.1 and incorporated by reference herein in its entirety.
