The Form 10-KSB could not be filed within the prescribed time due to the additional time required by Registrants management to provide certain information to be included in the Form 10-KSB. Additionally, problems with the information system delayed the completion of key schedules required for completion of the audit.

At this time, we are still finalizing our financial results but we will have a large net operating loss for fiscal year 2003 compared to a net profit of $600,511 for 2002.
