ITEM 8.01 OTHER EVENTS.

On June 10, 2010, Cardium Therapeutics, Inc. (“Cardium”) issued a press release announcing it has entered into a Master Services Agreement with bioRASI, an international contract research organization, to assist in the conduct of a planned late-stage clinical study and commercialization activities for Cardium’s Generx (Ad5FGF-4) drug candidate in Russia and affiliated jurisdictions, as well as in potentially other newly industrializing markets. A copy of the press release is attached hereto as Exhibit 99.1 and incorporated by reference herein.
