(d)        On June 17, 2011, the Board of Directors (the “Board”) of Williams-Sonoma, Inc. (the

“Company”) elected Rose Marie Bravo to serve as a director of the Company, effective June 17, 2011.

On June 20, 2011, the Company issued a press release announcing the election of Ms. Bravo to the Board. A

copy of the press release is attached hereto as Exhibit 99.1.
