CSN announces a US$ 750 million bond issue maturing in 2019
Companhia Siderúrgica Nacional (“CSN”) hereby announces that on this date, through its wholly-owned subsidiary CSN Islands XI Corp., it priced a US$ 750 million bond issue with a coupon of 6.875% p.a. maturing in September 2019, pursuant to Rule 144A and Regulation S of the United States of America. The notes will be guaranteed by CSN and the proceeds will be used to extend the group’s debt profile and for general corporate purposes.
The notes were not and will not be registered in accordance with the U.S. Securities Act of 1933 and may not be offered or sold in the United States of America. Consequently, they will not be registered with the Securities and Exchange Commission or with any other capital market regulatory agency or body in any other country and therefore may not be sold in the United States of America without an exemption from the applicable registration. Since the notes will not be offered or placed in Brazil, they will also not be registered with the Brazilian Securities and Exchange Commission (CVM).
