Item 8.01 Other Events.

On November 21, 2005, Brush Engineered Materials Inc. notified the holder of its subordinated debt regarding the prepayment in full of such debt (principal amount $30 million) on December 5, 2005. The prepayment of this debt will result in a non-cash charge of $2.2 million related to deferred financing costs and a cash prepayment penalty of $1.8 million which will result in a total charge of $4.0 million in the fourth quarter of 2005. This prepayment will yield a significant annual cash interest savings and an annual pretax earnings benefit of over $4 million for 2006 and beyond.
