Item 1.01 Entry into a Material Definitive Agreement.
On December 16, 2005, National Cooperative Refinery Association (NCRA), a subsidary in which we have an approximate 74.5% ownership interest, renewed its existing committed line of revolving credit for an additional year with a new maturity date of December 16, 2006. The terms of the amended credit facility are the same as the terms of the credit faciltiy it replaced in all material respects.
