Item 1.01 Entry into a Material Definitive Agreement.

Converted Organics Inc. has entered into an Option to Lease property located in Johnston, RI for purposes of construction of their second waste-to-fertilizer conversion facility. The company plans to build a 40,000 square foot facility on land owned by the Rhode Island Resource Recovery Corporation (RIRRC), which also houses the state's only municipal landfill.
