Submission of Matters to a Vote of Security Holders
|
(a) SL Green Realty Corp. (the "Company") held its Annual Meeting of Stockholders (the "Annual Meeting") on June 4, 2015.
(b) The Annual Meeting was held for the purpose of: (i) electing two Class III directors to serve on the Company's Board of Directors until its 2018 annual meeting of stockholders and until their successors are duly elected and qualify; (ii) approving, on an advisory basis, the Company's executive compensation; and (iii) ratifying the appointment of Ernst & Young LLP as the Company's independent registered public accounting firm for the fiscal year ending December 31, 2015. Further information regarding the foregoing proposals is contained in the Company's Definitive Proxy Statement on Schedule 14A, filed with the Securities and Exchange Commission on April 24, 2015. The total number of shares of common stock entitled to vote at the Annual Meeting was 99,532,817, of which 91,633,952 shares, or approximately 92%, were present in person or by proxy. The results of the meeting were as follows:

John H. Alschuler and Stephen L. Green were elected, with approximately 97.8% and 93.7%, respectively, of the votes cast voting in favor, as the Class III directors of the Company for a three-year term or until their successors are duly elected and qualify.
