Item 5. Other Events. ------------ On January 29, 2002, The Southern Company ("Southern") and Southern Company Capital Funding, Inc. ("Funding") entered into an Underwriting Agreement covering the issue and sale by Funding of $400,000,000 aggregate principal amount of its Series A 5.30% Senior Notes due February 1, 2007 (the "Series A Senior Notes") and the guarantee of the Series A Senior Notes by Southern. The Series A Senior Notes were registered under the Securities Act of 1933, as amended (the "Securities Act"), pursuant to the shelf registration statement (Registration Statement Nos. 333-65178, 333-65178-01, 333-65178-02 and 333-65178-03) of Southern and Funding.
