Item 8.01		Other Events

     On January 29, 2008, the United States District Court for the Northern District of California issued “Findings of Facts, Conclusions of Law and Order Thereon” (the “Conclusion”) in connection with the April 2007 bench trial of Equity LifeStyle Properties, Inc.’s lawsuit challenging the City of San Rafael’s rent control ordinance.

     The Conclusion is included in this Form 8-K as Exhibit 99.1.

     The information in Item 8.01 of this Form 8-K, including the Exhibit 99.1 attached hereto, shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended, or otherwise subject to the liabilities of that Section.
