Item 5.02 – Departure of Directors.
 

On July 26, 2009, Gen. Charles F. Bolden, Jr., a director of Marathon Oil Corporation, notified Marathon of his resignation from the Board of Directors of Marathon. At the time of his resignation, Gen. Bolden served on the Audit and Finance Committee, the Corporate Governance and Nominating Committee and the Public Policy Committee. Gen. Bolden's resignation did not arise from any disagreement with Marathon or any matter relating to Marathon’s operations, policies or practices.  On July 28, 2009, Marathon received a letter of resignation from Gen. Bolden, which is attached hereto as Exhibit 99.1.
