Item 5.02 – Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensator Arrangements of Certain Officers.

On January 29, 2011, our Board of Directors appointed Pierre R. Brondeau to serve on the following three committees of the Board: (1) the Compensation Committee; (2) the Corporate Governance and Nominating Committee; and (3) the Public Policy Committee.  Mr. Brondeau is an independent director under the rules of the New York Stock Exchange and our Corporate Governance Principles. In addition, there were no transactions between Mr. Brondeau and Marathon since the beginning of our last fiscal year or any currently proposed transaction, or series of transactions, in which the amount involved exceeds $120,000.
