Item 2.02 Results of Operations and Financial Condition
On February 11, 2005, ADESA, Inc. conducted a live webcast, including presentation visuals, discussing its financial results for the quarter and year ended December 31, 2004. The call featured a review of operating highlights and financial results for 2004 along with an outlook for 2005.
The presentation for the February 11, 2005 earnings conference call and webcast is attached to this Current Report on Form 8K as Exhibit 99.1 and incorporated herein by reference in its entirety.
The information is being furnished pursuant to Item 2.02, Results of Operations and Financial Condition. This information, including Exhibit 99.1 attached hereto, shall not be deemed filed for purposes of Section 18 of the Securities Act of 1934, nor shall it be deemed incorporated by reference in any filing under the Securities Act of 1933, except as shall be expressly set forth by specific reference to such filing.
Within the Companys earnings conference call presentation, the Company makes reference to certain nonGAAP financial measures. The nonGAAP financial measures include the following: income from continuing operations, excluding nonrecurring costs or adjusted income from continuing operations, EBITDA, and EBITDA excluding nonrecurring expenses or EBITDA net of nonrecurring items. Each of these nonGAAP financial measures is discussed below, along with the most directly comparable financial measure calculated and presented in accordance with Generally Accepted Accounting Principles in the United States (GAAP).
The Company believes that these measures represent important internal measures of performance. Accordingly, where these nonGAAP measures are provided, it is done so that investors have the same financial data that management uses with the belief that it will assist the investment community in properly assessing the underlying performance of the Company on a yearoveryear and quartersequential basis. Whenever such information is presented, the Company has complied with the provisions of the rules under Regulation G and Item 2.02 of Form 8K. The specific reasons, in addition to the reasons described above, why the Companys management believes that the presentation of the nonGAAP financial measures provides useful information to investors regarding ADESAs results of operations are as follows:
Income from continuing operations, excluding nonrecurring costs The Companys management believes that presenting income from continuing operations, excluding nonrecurring costs, is an important additional measure of performance that can be used for comparing results between reporting periods. The most directly comparable financial measure calculated and presented in accordance with GAAP is income from continuing operations including nonrecurring costs. ADESA believes that income from continuing operations, excluding nonrecurring costs is a useful measure to provide investors, because it excludes those items that ADESA does not consider to be indicative of earnings from ongoing operating activities. As a result, income from continuing operations, excluding nonrecurring costs provides investors with a more relevant measure of the results generated by the Companys

operations. The attachments to the Companys press release dated February 10, 2005 include income statements that describe the nature of the nonrecurring costs and their impact on each line item of the income statements presenting the fourth quarter 2004 and yeartodate 2004 results.
EBITDA and EBITDA excluding nonrecurring expenses The Companys management believes that EBITDA and EBITDA excluding nonrecurring expenses are useful supplements and meaningful indicators of earnings performance to be used by its investors, financial analysts and others to analyze the Companys financial performance and results of operations over time. These performance measures also represent one of the principal internal measures of performance, and form the basis of internal management performance expectations and incentive compensation. In addition, EBITDA is used by the Companys creditors in assessing debt covenant compliance. The most directly comparable financial performance measure calculated and presented in accordance with GAAP is income from continuing operations. A reconciliation of income from continuing operations to EBITDA and EBITDA excluding nonrecurring expenses for each of the fiscal periods indicated is presented in the attachments to the Companys press release dated February 10, 2005.
