                                On March 29, 2005, Tetra Tech, Inc. (the “Registrant”) issued a press release regarding its expected loss for the second quarter of fiscal 2005.  A copy of the press release issued by the Registrant concerning the foregoing is furnished herewith as Exhibit 99.1 and is incorporated herein by reference.
