Item 2.02: Results of Operations and Financial Condition.

In connection with remarks to be made at the JP Morgan 25th Annual Healthcare Conference in San Francisco on Wednesday, January 10, 2007, at 2:30 p.m. (pacific time), DexCom’s President and Chief Executive Officer Andy Rasdal will report estimated, unaudited revenues for DexCom of approximately $835,000 for the fourth quarter of 2006, with unit sales of approximately 840 starter kits and a sequential increase in sensor revenues of approximately 15% compared to the third quarter of 2006.  Mr. Rasdal will also provide an update on the current status of manufacturing and product performance.  DexCom has not previously given, and does not expect to provide guidance with respect to its future financial results.

Mr. Rasdal’s presentation, which will occur live at the Westin St. Francis Hotel, will be concurrently webcast.  The link to the webcast will be available on the DexCom, Inc. website at www.dexcom.com under the investor webcast section and will be archived for future reference.
