Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

On August 24, 2011, the Company’s Board of Directors appointed Richard N. Zwern to the Board of Directors.  The Board of Directors has appointed Mr. Zwern to the Compensation Committee and to the Governance and Nominating Committee.

 

There are no transactions in which Mr. Zwern has an interest requiring disclosure under Item 404(a) of Regulation S-K.

 

In connection with his appointment to the Board of Directors, on August 24, 2011, Mr. Zwern was granted options to purchase 5,000 shares of the Company’s common stock at a price per share equal to the closing price of the Company’s common stock on the NASDAQ Global Market on such date.  The options have a ten-year term and vest in three equal annual installments beginning on the first anniversary of the date of grant.
