I am writing to share information regarding two announcements made recently by Vulcan Materials Company.

 

As you know, on December 12, Martin Marietta Materials, Inc. made a hostile offer to acquire Vulcan.  Consistent with its fiduciary duties and in consultation with its independent financial and legal advisors, the Board of Directors of Vulcan unanimously rejected Martin Marietta’s offer.  The rationale for the Board’s recommendation is discussed in the attached press release we issued on December 22.

 

Ultimately, the Board believes Martin Marietta’s offer substantially undervalues Vulcan, is opportunistic and is not in the best interests of the Company or its shareholders. Vulcan is well positioned for the future with an unparalleled reserve base and leading positions in attractive growth markets.

 

Separately, on December 19, 2011, we announced that as part of our ongoing efforts to reduce overhead costs and increase operating efficiency, we will be consolidating our eight divisions into four operating regions.  This initiative had been developed well before Martin Marietta’s hostile offer. The new organizational structure is consistent with our longstanding commitment to decentralized management of sales, marketing and operating functions, and will enable us to maintain our close, local relationships with you and our other customers.  We expect to substantially complete the consolidation in the first quarter of 2012.

 

We do not expect either of these developments to have any effect on your day-to-day relationship with Vulcan. It is business-as-usual and we remain committed to providing you with high quality construction materials and superior services that you have come to expect.
