Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
On January 27, 2015, the Board of Directors (the Board) of The Manitowoc Company, Inc. (the Company) approved an amendment to Section 2 of Article III of the Restated By-Laws of the Company to provide for the phased elimination of the Companys classified board structure. Under the amendment, beginning at the Companys 2015 annual meeting of shareholders (the 2015 Annual Meeting), a director whose term expires at an annual meeting of shareholders will stand for election for a term that lasts until the next annual meeting of shareholders (and until his or her successor is elected and qualified). Directors elected prior to the 2015 Annual Meeting will complete the respective terms to which they were elected.
The foregoing description is qualified in its entirety by reference to the text of the Restated By-Laws of the Company, as amended through January 27, 2015, which are filed as Exhibit 3.1 to this Current Report on Form 8-K.
Item 7.01. Regulation FD Disclosure.
On January 29, 2015, the Company announced that the Board has authorized the Companys management to pursue a plan to separate the Companys Cranes and Foodservice businesses into two independent, publicly-traded companies. A copy of the Companys press release regarding the proposed separation is furnished with this Current Report on Form 8-K as Exhibit 99.1. The press release is furnished under this Item 7.01 and shall not be deemed filed with the Securities and Exchange Commission for purposes of Section 18 of the Securities Exchange Act of 1934, as amended.
