Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On February 12, 2016, Robert D. Beyer, a member of the board of directors of the Registrant since 2006, informed the Registrant that he will not stand for re-election to the board of directors at the Registrant’s annual stockholders meeting scheduled for May 24, 2016. Mr. Beyer will continue to serve as a director until such stockholders meeting. Mr. Beyer’s decision to not stand for re-election did not involve any disagreement with the Registrant. A copy of the press release announcing that Mr. Beyer will not stand for re-election is attached as Exhibit 99 to this report.
