Item 4.01  Changes in Registrant’s Certifying Accountant.

(a) Dismissal of independent registered public accounting firm

On June 22, 2009, Taitron Components Incorporated (“the Company”) dismissed Haskell & White LLP (“H&W”) as its independent registered public accounting firm.  The Audit Committee of the Board of Directors of the Company approved the decision to dismiss H&W.  The dismissal of H&W followed the decision of the Company to seek competitive proposals from independent auditing firms to audit the financial statements of the Company.

H&W’s audit reports on the Company’s consolidated financial statements as of and for the fiscal years ended December 31, 2008 and December 31, 2007 did not contain an adverse opinion or a disclaimer of opinion and were not qualified or modified as to uncertainty, audit scope or accounting principles.  During the two most recent fiscal years ended December 31, 2008 and December 31, 2007 and the subsequent period through the date of this report, there were: (i) no disagreements between the Company and H&W on any matter of accounting principles or practices, financial statement disclosure or auditing scope or procedure, which disagreement, if not resolved to the satisfaction of H&W, would have caused them to make reference to the subject matter of the disagreement in connection with their reports, and (ii) no “reportable events” as that term is defined in Item 304(a)(1)(v) of Regulation S-K.

The Company provided H&W with a copy of the disclosures it is making in this Current Report on Form 8-K (the “Report”) prior to the time the Report was filed with the Securities and Exchange Commission (the “SEC”).  The Company requested that H&W furnish a letter addressed to the SEC stating whether or not it agrees with the statements made herein.  A copy of H&W’s letter is attached as Exhibit 16.1 hereto.

(b) Engagement of new independent registered public accounting firm

On June 22, 2009 the Company engaged Anton & Chia, LLP as its independent registered public accounting firm. During the Company's two most recent fiscal years ended December 31, 2008 and December 31, 2007 and the subsequent interim period through the date of this report, the Company did not consult with Anton & Chia, LLP regarding any of the matters or events set forth in Item 304(a)(2) of Regulation S-K.
