1.01. Entry into a Material Definitive Agreement
On
June
7, 2006,
after a
review of performance and competitive market data,
the
Compensation Committee of the Board of Directors of Ingersoll-Rand Company
Limited (the “Company”) approved a $30,000 increase in the base annual salary of
Timothy R. McLevish, Senior Vice President and Chief Financial Officer of the
Company, thereby increasing his base annual salary to $550,000, effective June
1, 2006.
