Item 2.02. Results of Operations and Financial Condition.

On April 16, 2008, Rurban Financial Corp. (the “Company”) issued a news release reporting financial results for the first quarter ended March 31, 2008. A copy of the April 16, 2008 news release is furnished as Exhibit 99.1 and is incorporated herein by reference.

On April 16, 2008, the Company issued a news release announcing that its Board of Directors has declared a quarterly shareholder dividend of $0.08 per share payable on May 16, 2008 to all shareholders of record on May 2, 2008.
