Item 1.01  Entry into a Material Definitive Agreement

On December 2, 2008, Organic To Go Food Corporation (the “Company”) closed the $3.0 million debt financing (the “Debt Financing”) previously disclosed in a Current Report on Form 8-K filed by the Company on November 24, 2008.
