Item 1.01.  Entry into a Material Definitive Agreement.

Lease of Office Space

On December 6, 2010, the Federal Agricultural Mortgage Corporation (“Farmer Mac”) entered into a Sublease Agreement with Mayer Brown LLP for office space located in Washington, D.C., commencing October 1, 2011 and expiring on August 30, 2024, with an initial base rent of $1.16 million per year, and an “early occupancy” option that Farmer Mac may exercise on or after August 1, 2011.  Farmer Mac does not have any material relationship with Mayer Brown LLP other than in respect of the Sublease Agreement.
