Item 1. Security and Issuer.
The securities to which this Schedule 13D relates are shares of common stock, no par value per share (“Common Stock”), of Bankwell Financial Group, Inc., a Connecticut corporation (the “Company”). The Company’s Common Stock is listed on The NASDAQ Stock Market under the symbol “BWFG”.
The address of the Company’s principal executive office is 220 Elm Street, New Canaan, Connecticut 06840.
Item 2. Identity and Background.
(a) This statement is being filed by the Reporting Person, James A. Fieber.
(b) The business address of the Reporting Person is Fieber Group LLC, 47 Elm Street, New Canaan, Connecticut 06840.
(c) The Reporting Person’s principal occupation is managing privately held companies that make strategic investments in real estate and other asset classes for its principal partners and investors.
(d) The Reporting Person has not, during the last five years, been convicted in a criminal proceeding (excluding traffic violations and similar misdemeanors).
(e) The Reporting Person has not, during the last five years, been a party to a civil proceeding of a judicial or administrative body of competent jurisdiction and as a result of such a proceeding, been subject to a judgment, decree or final order enjoining future violations of, or prohibiting or mandating activities subject to, federal or state securities laws or finding any violation with respect to such laws.
(f) The Reporting Person is a citizen of the United States of America.
Item 3. Source or Amount of Funds or Other Consideration.
At the time the Issuer became a reporting company under the Act, the Reporting Person (i) owned 81,033 shares of Common Stock, of which 2,800 share were granted to the Reporting Person pursuant to the Company’s 2012 Stock Plan and vest in four equal installments of 700 shares of Common Stock each, with the first installment to vest on November 5, 2014 and an additional 700 shares of Common Stock to vest on each annual anniversary of the grant thereafter; (ii) owned options to acquire 7,745 shares of Common Stock; and (iii) was Trustee of a trust which owns 265,238 shares of the Company’s Common Stock, all as reported in the Company’s Prospectus dated May 15, 2014 and filed with the SEC May 16, 2014 pursuant to Rule 424(b)(4). Since such date, in connection with the Company’s initial public offering, the Reporting Person acquired 111,111 shares of the Company’s Common Stock in such public offering for total consideration of approximately $1,999,998 using personal funds available on hand. All shares of the Company’s Common Stock acquired by the Reporting Person were acquired with personal funds
Item 4. Purpose of Transaction.
The Reporting Person acquired and currently holds the shares of the Company’s Common Stock, as described herein, for investment purposes. The Reporting Person believed that the shares, when purchased, represented an attractive investment opportunity
The Reporting Person is a Director of the Company. He does not have any plans or proposals that relate to or would result in any of the actions specified in clauses (a) through (j) of Item 4 to Schedule 13D.
Item 5. Interest in Securities of the Issuer.
(a) | The Reporting Person is currently the beneficial owner of 465,127 shares of Common Stock and the beneficial owner of 7.07% of the total issued and outstanding shares of Common Stock of the Company.1 |
