Item 2.02Results of Operations and Financial Condition.


On November 5, 2018, the Company issued a press release re-affirming its previously announced estimated range of net income per diluted share for the third quarter of the Company’s fiscal year ending February 2, 2019 (“Fiscal 2018”) and announcing comparable retail sales for the third quarter of Fiscal 2018. A copy of the press release is being furnished as Exhibit 99.1 to this Current Report on Form 8-K.


The information in this Current Report is being furnished pursuant to Item 2.02 of Form 8-K insofar as it discloses historical information regarding the Company’s results of operations and financial condition as of and for the third quarter of Fiscal 2018. Item 5.02Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.


As also set forth in the Company’s November 5, 2018 press release furnished as Exhibit 99.1 hereto, the Company announced the consolidation of certain key management roles.


Pamela Wallack, the Company’s President, Global Product and Anurup Pruthi, the Company’s Chief Financial Officer, left the Company to pursue other opportunities, effective November 2, 2018. Neither executive left the Company as a result of any disagreement with the Company concerning the Company’s operations, policies or practices.


Effective as of November 2, 2018: (i) Jane Elfers, the Company’s President and Chief Executive Officer, reassumed Ms. Wallack’s duties; and (ii) Michael Scarpa, the Company’s Chief Operating Officer, and the former Chief Financial Officer of the Company, reassumed Mr. Pruthi’s duties.
