Item 3.02    Unregistered Sales of Equity Securities

On June 22, 2005, Delta entered into an agreement under which the holders of approximately $15 million principal amount of the Company’s 7.7% Notes due 2005 will exchange those notes for a total of 3,594,560 shares of Delta’s Common Stock.  The shares of Delta’s Common Stock will be issued in a transaction exempt from registration pursuant to Section 3(a)(9) of the Securities Act of 1933, as amended.
