Valley's stock split 5 for 4 on May 17, 2002.
Includes Dividend Reinvestment Plan
A profit sharing plan of which Mr. Korde was a beneficiary was dissolved. As a
result, 76,284 shares (includes dividend reinvestment shares) previously held
by the plan in which Mr. Korde had a pecuniary interest were transferred into an
IRA rollover account. Such transaction changed Mr. Korde's form of beneficial
ownership in such shares from Indirect to Direct.
