Item 8.01.  Other Events.
 
On September 4, 2014, Consolidated Communications Holdings, Inc. (the “Company”) issued a press release announcing that its wholly owned subsidiary, Consolidated Communications Finance II Co., intends to offer, subject to market and other conditions, $200 million aggregate principal amount of senior notes due 2022.
 
The press release announcing the intended notes offering is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
