2019 Annual Salaries and Stock Option Awards

 

On December 12, 2018, the Board of Directors (the “Board”) of Corvus Pharmaceuticals, Inc. (“Corvus” or the “Company”), approved, on recommendation of the Compensation Committee of the Board, increases to the annual base salaries and stock option awards for the Company’s Chief Executive Officer, Chief Financial Officer and Chief Business Officer. The stock option awards to each of the executive officers will be granted effective as of the close of business on December 12, 2018 with an exercise price equal to the closing price of the Company’s common stock as reported on The Nasdaq Global Market on the date of grant. The awards will be made pursuant to the Company’s 2016 Equity Incentive Award Plan and will vest in equal monthly installments over 48 months, subject to continued service as of each vesting date.

 

The following table sets forth the 2019 annual base salary and number of shares underlying the stock option awards for each of the named executive officers and principal financial officer:

Departure of Director

 

On December 12, 2018, Peter Moldt Ph.D. notified the Company of his intention to resign from the Board as well as each of the audit committee and nominating and corporate governance committee in the first half of 2019. Dr. Moldt’s resignation is not due to any disagreement with the Company, the Board or management of the Company.
