On December 14, 2005, Bristol-Myers Squibb Company (the Company), through a wholly-owned subsidiary, borrowed an additional $500 million against its existing $2.5 billion term loan facility. The discussion contained under Item 1.01 of the Companys Form 8-K filed August 11, 2005 is incorporated herein by reference.
