Attached is an English translation of the summary of the letter dated October 4, 2006 filed by the Company with the Comisión Nacional de Valores:

By letter dated October 4, 2006, the Company reported the acquisition of 26,083,596 Class B ordinary shares face value Ps. 1, with one vote per share, of Palermo Invest S.A. from GSEM/AP Holdings, LP for a total amount of US$18 million, to be paid as specified below:

 

(i)

On execution of the agreement, the amount of US$9,000,000;

 

(ii)

on October 4, 2007 the amount of US$3,000,000;

 

(iii)

on October 4, 2008 the amount of US$3,000,000; and

 

(iv)

on October 4, 2009 the amount of US$3,000,000.
