PART III — NARRATIVE

State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.

The Registrant was unable to file its report on Form 10-Q for the quarter ended June 30, 2008 on August 11, 2008, the due date therefore, because while the Registrant has disclosed consolidated financial results for the Registrant and its subsidiaries with respect to the quarter ended June 30, 2008, the Registrant is still reviewing certain classifications among guarantors in the Supplemental Guarantors Condensed Consolidating Financial Information (the “Guarantor Financial Information”) included in a Note to the Registrant’s Condensed Consolidated Financial Statements.

The Registrant was not able to confirm these classifications prior to the due date of the 10-Q report. Accordingly, the Company was not able, as of the due date of report, to provide Guarantor Financial Information in the form required. The classifications could not be confirmed by the filing deadline for the 10-Q report without unreasonable effort or expense. The Registrant expects to file the 10-Q report on August 12, 2008.
