Explanatory Note:
This Amendment to the Current Report on Form 8-K filed by Ingersoll-Rand Company Limited on March 6, 2009 is being filed for the sole purpose of including legends required by the rules of the Securities and Exchange Commission on the chart referred to below. No other changes to that chart, or to the information disclosed below in Item 8.01, have been made.

As previously disclosed, Ingersoll-Rand Company Limited (the “Company”) announced on March 5, 2009 a reorganization of the Company, including the establishment of the Company’s tax residency in Ireland and, following the satisfaction of certain conditions, a newly formed Irish company, Ingersoll-Rand plc, replacing the Company as the ultimate parent company (the “Reorganization”).
To assist in understanding the Reorganization, a chart showing the anticipated organizational structure of the Company upon completion of the Reorganization is attached as Exhibit 99.1 and is incorporated herein by reference.
