ITEM 2.02. RESULTS OF OPERATIONS AND FINANCIAL CONDITION.

In connection with remarks to be made at the J.P. Morgan 28th Annual Healthcare Conference in San Francisco on Tuesday, January 12, 2010, beginning at 8:30 a.m. (pacific time), DexCom’s President and Chief Executive Officer Terry Gregg will report estimated, unaudited product revenues for DexCom of approximately $6.6 million for the fourth quarter of 2009, up approximately 43% sequentially from the prior quarter. DexCom sold approximately 2,800 starter kits during the fourth quarter of 2009, amounting to an increase of approximately 31% in starter kit sales compared to the third quarter of 2009. Sequentially, sensor revenues were up approximately 50% compared to the third quarter of 2009.
