This prospectus supplement relates to 48,611 shares of our common stock issued to the entity named under the heading “Resales of Shares” as part of certain earnout payments we paid on February 24, 2010 in connection with the acquisition of certain insurance brokerage businesses from Koster Insurance Agency, Inc. This prospectus supplement and the related prospectus may be used to resell our shares only by the individuals named under the heading “Resales of Shares” and their permitted transferees.
