Item 2.02 Results of Operations and Financial Condition

This Form 8-K/A amends the Form 8-K filed by Edison International on March 1, 2010 in connection with its financial results for the year ended December 31, 2009 and financial teleconference held on March 1, 2010 (the “Original 8-K”). Edison International is furnishing this Form 8-K/A for the sole purpose of providing corrections to the presentation used in connection with the financial teleconference, which is furnished with this report on amended Exhibit 99.2. The corrections to the financial teleconference presentation do not affect the press release reporting the financial results that was furnished as Exhibit 99.1 to the Original 8-K but that exhibit is re-furnished with this Form 8-K/A for convenience. No other changes to the Original 8-K have been made.

Exhibit 99.2 is amended by correcting the Edison International core earnings per share (Low and Mid) for the 2010 Earnings Guidance column on slide 13 of the financial teleconference presentation. The 2010 earnings guidance is not otherwise being changed or amended. The updated version of Exhibit 99.2 is attached hereto and supersedes Exhibit 99.2 to the original Form 8-K filed on March 1, 2010 in its entirety.

The information furnished in this Item 2.02 and Exhibits 99.1 and 99.2 shall not be deemed to be “filed” for purposes of the Securities Exchange Act of 1934, nor shall it be deemed to be incorporated by reference in any filing under the Securities Act of 1933. Edison International will revise the presentation posted on its website at www.edisoninvestor.com.
