Section 1. Business and Operations

Item 1.01 Entry into a Material Definitive Agreement

On April 13, 2010, we entered into Sale, Purchase and Escrow Agreement with CAT-FLA Owner LLC to purchase an office building, including land, in Tampa, Florida. The purchase price is expected to be approximately $7,100,000. We expect to complete the acquisition before May 31, 2010. We are constrained from discussing the transaction with third parties.
