Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(b)

As part of the efforts of Phoenix Footwear Group, Inc. (the “Company”) to reduce its public company reporting cost, it voluntary delisted from the NYSE Amex in March 2011 and is planning to deregister with the Securities and Exchange Commission under the Securities Exchange Act of 1934. These plans included the reduction in the size of its Board of Directors from seven to three directors. In connection with these plans, on April 4, 2011, directors, Gregory M. Harden, John C. Kratzer, Wilhelm Pfander and Kevin G. Wulff have concurrently resigned from the Company’s Board of Directors.
