Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On March 15, 2013, Scott D. Josey resigned from his position as a director of Apache Corporation (“Apache”), in order to pursue other opportunities in the energy industry. Mr. Josey was a member of the Executive Committee of Apache’s board of directors. In his resignation letter, Mr. Josey indicated that he did not have any disagreement with Apache or its management on any matter relating to Apache’s operations, policies, or practices. Mr. Josey has served on the Apache board since February 2011.
