Item 8.01 Other Events.

On November 12, 2013, Regency Energy Partners LP (the “Partnership”) announced that it has received early termination of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended, in connection with the proposed merger of PVR Partners, L.P. (“PVR”) into the Partnership, which was announced on October 10, 2013. The termination of this waiting period, which is effective as of November 8, 2013, satisfies one of the conditions to closing for the Partnership’s proposed acquisition of PVR.
