ITEM 2.02. RESULTS OF OPERATIONS AND FINANCIAL CONDITION.

In connection with remarks to be made at the J.P. Morgan 32nd Annual Healthcare Conference in San Francisco on Tuesday, January 14, 2014, beginning at 3:30 p.m. (pacific time), DexCom, Inc. (“DexCom”) Chief Executive Officer Terry Gregg will report estimated, unaudited product revenues for DexCom of approximately $51 million for the fourth quarter of 2013, up approximately 20% sequentially from the prior quarter and up approximately 61% from the fourth quarter of 2012. Estimated, unaudited product revenue for fiscal year 2013 was approximately $157 million, up approximately 69% from fiscal year 2012. Mr. Gregg will also disclose that since the launch of the G4 Platinum system in October 2012 through December 31, 2013, DexCom sold approximately 60,000 receivers, of which approximately 10% were sold to patients who had previously purchased a G4 Platinum receiver. Additionally, since the launch of the G4 Platinum system in October 2012 through December 31, 2013, DexCom sold approximately 1.5 million G4 Platinum sensors. Finally, Mr. Gregg will provide an estimated range for DexCom’s fiscal year 2014 product revenue of $205 million - $225 million.
